Terms of sale

Last updated: September 10, 2026

1. Seller. La Mercanti USA LLC, a Delaware limited liability company, 3415 South Sepulveda Blvd, Suite 1100, Los Angeles, CA 90034. Email info@lamercanti.us · Telephone +1 855 335 8079. This website is operated by La Mercanti Srl (Italy). La Mercanti USA LLC is a distributor: goods are manufactured by independent producers, whose declared specifications we pass through.

2. Scope. These Terms govern purchases made through this website and orders placed on a signed proforma invoice. They prevail over any purchase terms of the Buyer, whenever submitted. Fulfilling an order does not constitute acceptance of the Buyer's terms.

3. Order acceptance. For direct website purchases, the contract is formed when payment is completed. For proforma orders, it is formed on receipt of both the signed proforma and the agreed payment, whichever is later. We send written confirmation on a durable medium stating the order summary, the date through which the order may be cancelled, estimated lead times and a copy of these Terms.

4. Prices and taxes. Prices are in US dollars. Unless the order states otherwise, quotes are fully landed DDP: product, export crating, freight, insurance, US customs clearance and import duties, and delivery to the stated address. Prices exclude applicable sales tax, which is calculated where we are required to collect it. For direct website purchases the price shown is the price charged, with no payment-method surcharge. Card payments on proforma orders carry a 3% processing fee, stated on the proforma.

If a manufacturer's published list price increases by more than 5% between the date of our quote and the release of the order to production, we may propose a revised price. The Buyer has ten business days to accept it or cancel with a full refund of any amounts paid.

5. Lead times and delay. Production and transit times stated on the product page and in the order confirmation are estimates and run from the date the order is complete in all specifications required for manufacture. If we cannot ship within the stated time, we will notify the Buyer with a revised shipping date and the option to cancel the order for a full refund. Where the revised date is more than 30 days beyond the original, the order is treated as cancelled and refunded unless the Buyer expressly agrees to the new date. Refunds under this clause are issued within 7 business days.

6. Delivery, title and risk. Delivery is made to the address stated in the order. Title and risk of loss pass to the Buyer on delivery at that address. Delivery is curbside unless additional services are stated in the order. The Buyer shall provide reasonable access and, where applicable, the equipment and labor to receive the goods.

7. Inspection and claims. On receipt the Buyer shall inspect all crates and note any visible damage on the delivery receipt before signing. The Buyer shall notify Seller in writing, with photographic evidence, within 7 days of delivery of any damage, shortage or non-conformity. Absent such notice within that period the goods are deemed accepted. Natural variation in color, grain, figure and texture in wood, leather, stone and textile does not constitute damage or non-conformity.

Where goods are damaged or materially different from those ordered, Seller shall at its election repair, replace, or refund the price of the affected goods together with reasonable return freight. These remedies are the Buyer's exclusive remedies for damaged or non-conforming goods.

8. Cancellation. An order may be cancelled at no cost within 5 days of order confirmation. Thereafter: no amount is retained where the order has not yet been released to the manufacturer; 30% of the order value is retained where the order has been released; and no cancellation is possible once production has commenced. Seller will state the status of the order before retaining any amount. The parties agree that the amount retained is a reasonable estimate of Seller's loss, having regard to the made-to-order nature of the goods, Seller's non-cancellable commitments to Italian manufacturers, and the impracticability of establishing actual damages at the time of contracting.

9. Returns. Made-to-order and custom goods are final sale. In-stock goods purchased through this website may be returned within 14 days of delivery, unused, unassembled and in original crating, subject to written authorization, return freight at the Buyer's cost, and a 20% restocking fee which is waived where the Buyer elects store credit or an exchange of equal value. Full terms are set out at Returns & Cancellations.

10. Warranty. Goods are manufactured by independent producers. Seller passes through to the Buyer the benefit of the manufacturer's warranty applicable to each product; its duration and scope are those set by the manufacturer and are stated on the product page and in the manufacturer's documentation, available on request before purchase. Where a valid claim is accepted, Seller's obligation is to procure repair or replacement of the defective component in accordance with that warranty, and to administer the claim on the Buyer's behalf.

Seller makes no separate warranty of its own beyond the pass-through described above. Nothing in this clause excludes or limits any warranty or right that cannot lawfully be excluded or limited, including under the Magnuson-Moss Warranty Act or the law of the Buyer's state.

11. Payment. Payment terms are as stated in the order. Amounts not paid when due bear interest at the lesser of the Prime Rate published by the Wall Street Journal plus 3% per annum and the maximum rate permitted by applicable law, accruing daily from the due date. The Buyer shall reimburse Seller's reasonable costs of collection, including attorneys' fees.

12. Limitation of liability. Seller's aggregate liability arising out of or relating to any order shall not exceed the amounts paid by the Buyer for the goods concerned. Seller shall not be liable for loss of use, revenue or profit, or for any indirect, incidental, special, consequential, exemplary or punitive damages. These limitations do not apply to liability for gross negligence or willful misconduct, or for death or bodily injury caused by Seller's acts or omissions, and do not limit any right that cannot lawfully be limited.

13. Force majeure. Seller is not liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, fire, flood, epidemic, war, civil unrest, government action, port closure, carrier delay, labor dispute, or unavailability of materials. Lead times extend by the duration of the event.

14. Intellectual property and confidentiality. Space plans, drawings, renderings, configurations and specification documents prepared by Seller remain Seller's property and may not be reproduced or disclosed to third parties without written consent. Pricing and commercial terms disclosed to the Buyer are confidential.

15. Compliance and export. The Buyer shall comply with all applicable import, export and licensing requirements in respect of the goods.

16. Data. Personal data is processed in accordance with our Privacy Policy.

17. Governing law and disputes. These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. The parties shall first attempt to resolve any dispute by good-faith discussion for 30 days. Any dispute not so resolved shall be settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, seated in New York, New York. Either party may bring an individual claim in small claims court.

18. State law. Nothing in these Terms limits any right the Buyer has under the law of the Buyer's state, and where state law provides otherwise, state law applies. In particular, and without limitation, clauses 8 and 9 do not limit the rights of buyers in New Jersey under N.J.A.C. 13:45A-5, and orders shipped to Utah following direct solicitation by Seller carry the cancellation notice required by Utah Code § 13-11-4.

19. Severability and entire agreement. If any provision is held unenforceable, it shall be modified to the minimum extent necessary and the remainder continues in force. These Terms, together with the order, constitute the entire agreement between the parties.
